Assessment of the members of the Board of Directors
The assessment of board members requires more than simply examining the entity's compliance with the framework of regulatory requirements. It involves the application of a structured methodology to validly illustrate the capabilities and readiness of the Board of Directors to meet the challenges and support the strategic priorities of the entity, both at initial selection and during their term of office.
Services for the ongoing assessment procedure of the members of the B. of D.:
Assessment of the individual and collective Fitness of the members of the Board of Directors (fit-and-proper), in accordance with what is provided for in article 3 of l. 4706/2020 and described in the Firm’s fitness policy.
Further assessment of the skills, characteristics and desired behaviours of the members of the Board of Directors, in accordance with the provisions of article 3 of l. 4706/2020 as well as the provision 1.7 of the Greek Corporate Governance Code (2021) of the Hellenic Corporate Governance Council (ECGC).
Assessment and Improvement of the individual and collective Performance of the members of the Board of Directors using the leading international Board Effectiveness Solution methodology, which enables the comparison of the performance of the Board of Directors with similar Boards of Directors of the industry and/or the market worldwide.
